6.2 We make reasonable efforts to ensure advertisements do not interfere with tool functionality. Advertisements will never appear inside the tool processing area.
6.3 Third-Party Ad Content. We do not endorse, verify, or take responsibility for the content, accuracy, or availability of any third-party advertisements, products, or services displayed on our website. Any interaction with advertisers, including purchases or data sharing, is solely between you and the advertiser. We are not liable for any loss or damage resulting from such interactions.
6.4 Ad Network Cookies. Third-party ad networks may place cookies on your device to serve relevant advertisements and measure performance. See our Cookie Policy for details on how to manage these cookies.
7. No Professional Advice
Our tools are general-purpose utilities, not professional advice. Nothing provided through the Services constitutes professional, legal, financial, medical, tax, engineering, or other specialist advice. You should not rely on tool outputs as a substitute for independent professional judgement.
7.1 The Services are designed as general-purpose utility tools for common tasks such as file conversion, text manipulation, data formatting, and similar operations. Tool outputs are provided for informational and convenience purposes only.
7.2 No reliance. You acknowledge that tool outputs may contain errors, inaccuracies, or omissions. You must independently verify any results before relying on them for important decisions, professional work, or any purpose where inaccuracy could cause harm or loss.
7.3 Examples of tools requiring independent verification (this list is not exhaustive):
- Calculators and converters: Results may be approximate or subject to rounding. Do not use for critical financial, engineering, or scientific calculations without verification.
- Security tools: Password generators, hash tools, and similar utilities are provided as-is. We do not guarantee the cryptographic strength, randomness, or security of any outputs.
- Image and file converters: Output quality, fidelity, and metadata preservation may vary. Always verify outputs meet your requirements.
- Text and data tools: Formatting, encoding, and transformation results should be validated before use in production systems.
- Network tools: DNS lookups, IP information, and similar results reflect a point-in-time snapshot and may not be current or complete.
7.4 KORDU LTD expressly disclaims any liability arising from your reliance on tool outputs without independent verification.
8. Updates & Service Changes
Key Points: We may update the Services and these Terms. We will provide notice of material changes.
8.1 Changes to the Services. We may modify, add, remove, suspend, or discontinue any tool or feature at any time, with reasonable notice where feasible. We are not obligated to maintain any particular tool indefinitely.
8.2 No Service Level Agreement. The Services are provided free of charge. We do not guarantee any particular level of availability, uptime, or performance. We may take the Services offline for maintenance, updates, or other reasons at any time without prior notice.
8.3 Changes to Terms. We may update these Terms from time to time. We will provide reasonable notice of material changes (e.g., by website notice) and specify the effective date. Continued use after the effective date constitutes acceptance. If you disagree, you should stop using the Services.
8.4 UK/EU Users. For users habitually resident in the UK or EU, we will only make changes for valid reasons, including to reflect changes in law, maintain security, address technical issues, prevent abuse, or improve the Services.
9. Privacy & Data
9.1 Privacy Policy. Our Privacy Policy explains how we collect, use, share, and store your personal information, including cross-border transfers and data rights.
9.2 Client-Side First. Our tools process files in your browser by default. We believe your files are your business. Server-side processing is used only as a fallback when client-side processing is not technically possible, and this is always clearly communicated before you use the tool.
10. Suspension & Termination
Key Points: We may restrict or block access if you violate these Terms or abuse the Services.
10.1 Our Rights. We reserve the right, at our sole discretion and without prior notice, to: (a) temporarily or permanently suspend, restrict, or terminate your access to the Services; (b) block your IP address or device; (c) rate-limit or throttle your requests; or (d) take any other action we consider appropriate — if we reasonably believe you have violated these Terms, are engaging in abusive or fraudulent activity, or are otherwise harming the Services or other users.
10.2 Effect of Termination. Upon termination of your access, all licenses granted to you under these Terms immediately end. Sections relating to intellectual property, disclaimers, limitation of liability, indemnification, and governing law survive termination.
10.3 No Liability for Suspension. We are not liable to you or any third party for any suspension, restriction, or termination of access to the Services.
11. Assumption of Risk
You use the Services entirely at your own risk. You are solely responsible for the files you process and how you use the results.
11.1 You acknowledge and agree that your use of the Services, including any files you upload, process, download, or otherwise interact with through the Services, is at your sole risk.
11.2 Without limiting the generality of the foregoing, you assume all risk associated with:
- The accuracy, completeness, and fitness for purpose of any tool outputs
- Any loss, corruption, or unintended modification of your files during processing
- Any reliance you place on tool results for personal, commercial, or professional purposes
- Any consequences arising from processing sensitive, confidential, or regulated data using the Services
- Any security implications of using security-related tools (password generators, hash tools, encryption utilities)
- Interactions with third-party advertisements displayed on the Services
11.3 Sensitive and Regulated Data. You are solely responsible for ensuring that your use of the Services complies with any legal, regulatory, or contractual obligations applicable to the data you process. We make no representations about the suitability of the Services for processing regulated data (including personal data subject to GDPR, HIPAA-protected health information, or data subject to financial regulations).
12. Disclaimers & Warranties
Key Points: The Services are provided "as is" with no guarantees. Consumer law protections still apply where mandatory.
12.1 DISCLAIMER. TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTY OF ANY KIND. WE EXPRESSLY DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, COMPLETENESS, AND QUIET ENJOYMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, TIMELY, OR FREE OF HARMFUL CODE, OR THAT ANY DEFECTS WILL BE CORRECTED.
12.2 Processing Results. WITHOUT LIMITING THE FOREGOING, WE MAKE NO WARRANTY OR REPRESENTATION THAT: (A) TOOL OUTPUTS WILL BE ACCURATE, COMPLETE, ERROR-FREE, OR SUITABLE FOR ANY PARTICULAR PURPOSE; (B) FILE CONVERSIONS WILL PRESERVE ALL DATA, METADATA, OR QUALITY; (C) SECURITY TOOLS WILL PROVIDE ADEQUATE PROTECTION AGAINST ANY THREAT; OR (D) ANY INFORMATION PROVIDED BY THE SERVICES IS CURRENT OR CORRECT. YOU ARE SOLELY RESPONSIBLE FOR VERIFYING ALL RESULTS.
12.3 No Endorsement. References to third-party products, services, or websites do not constitute endorsement. We are not responsible for the availability, accuracy, or content of third-party resources.
12.4 Consumer Rights. Nothing in these Terms affects rights you cannot waive under applicable consumer protection laws. If you are in the UK or EU, you benefit from statutory rights regarding digital content conformity, and nothing in these Terms excludes or limits those rights.
12.5 Third-Party Content and Links. The Services may contain links to third-party websites, advertisements, or resources. We do not control, endorse, or assume responsibility for any third-party content, privacy practices, or other aspects of these sites. Your use of third-party sites is at your own risk and subject to those sites' terms and policies.
13. Limitation of Liability
Key Points: Our liability is strictly limited. Some jurisdictions impose mandatory protections that cannot be waived.
13.1 Exclusion of Damages. TO THE MAXIMUM EXTENT PERMITTED BY LAW, KORDU LTD AND ITS AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, LICENSORS, AND SERVICE PROVIDERS (COLLECTIVELY, THE "KORDU PARTIES") SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUES, GOODWILL, DATA, USE, BUSINESS OPPORTUNITIES, OR OTHER INTANGIBLE LOSSES, ARISING FROM OR RELATED TO: (A) YOUR USE OF OR INABILITY TO USE THE SERVICES; (B) ANY TOOL OUTPUTS, PROCESSING RESULTS, OR INFORMATION OBTAINED THROUGH THE SERVICES; (C) ANY ERRORS, INACCURACIES, OR OMISSIONS IN TOOL FUNCTIONALITY OR OUTPUTS; (D) UNAUTHORISED ACCESS TO OR ALTERATION OF YOUR DATA; (E) ANY THIRD-PARTY CONTENT, ADVERTISEMENTS, OR CONDUCT; OR (F) ANY OTHER MATTER RELATED TO THE SERVICES — REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE) AND EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
13.2 Aggregate Cap. TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE TOTAL AGGREGATE LIABILITY OF THE KORDU PARTIES FOR ALL CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED ONE HUNDRED POUNDS STERLING (£100). THIS LIMITATION APPLIES REGARDLESS OF WHETHER THE CLAIMS ARE BASED IN CONTRACT, TORT, STATUTE, OR ANY OTHER LEGAL THEORY.
13.3 Data Loss. THE KORDU PARTIES ARE NOT RESPONSIBLE FOR ANY LOSS, CORRUPTION, DESTRUCTION, OR UNINTENDED MODIFICATION OF YOUR FILES, DATA, OR CONTENT RESULTING FROM THE USE OF THE SERVICES, WHETHER PROCESSED CLIENT-SIDE OR SERVER-SIDE. YOU ARE SOLELY RESPONSIBLE FOR MAINTAINING BACKUP COPIES OF ALL FILES AND DATA BEFORE PROCESSING.
13.4 Basis of the Bargain. YOU ACKNOWLEDGE THAT THE SERVICES ARE PROVIDED FREE OF CHARGE AND THAT THE LIMITATIONS OF LIABILITY IN THIS SECTION REFLECT A FAIR AND REASONABLE ALLOCATION OF RISK BETWEEN YOU AND US, AND THAT WITHOUT THESE LIMITATIONS, WE WOULD NOT PROVIDE THE SERVICES. THESE LIMITATIONS SHALL APPLY EVEN IF A LIMITED REMEDY FAILS OF ITS ESSENTIAL PURPOSE.
13.5 Exclusions. Nothing in these Terms limits or excludes our liability for: (a) death or personal injury caused by negligence; (b) fraud or fraudulent misrepresentation; or (c) any other liability that cannot be excluded or limited by applicable law.
14. Indemnification
Key Points: If your misuse of the Services causes us harm, you agree to cover our costs.
14.1 To the maximum extent permitted by applicable law, you agree to indemnify, defend, and hold harmless the Kordu Parties from and against any and all claims, demands, actions, damages, losses, costs, liabilities, and expenses (including reasonable legal fees and costs) arising from or related to:
- Your access to or use of the Services
- Your User Content, including any files you process through the Services
- Your violation of these Terms or any applicable law or regulation

- Any misrepresentation by you regarding your age, authority, or right to use the Services
14.2 We reserve the right, at your expense, to assume exclusive control of the defence of any matter for which you are required to indemnify us, and you agree to cooperate with our defence. You agree not to settle any such matter without our prior written consent.
14.3 UK/EU Users. If you are a consumer in the UK or EU, this indemnification obligation only applies to the extent that your actions constitute a breach of these Terms, negligence, or wilful misconduct, and does not affect your statutory consumer rights.
15. Governing Law & Disputes
Key Points: These Terms are governed by English and Welsh law. Disputes will be resolved in England and Wales, subject to your mandatory local law rights.
15.1 Governing Law. These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to conflict of law principles.
15.2 Jurisdiction. The courts of England and Wales shall have exclusive jurisdiction over any disputes arising from these Terms, subject to your rights under mandatory local law to bring proceedings in your country of residence.

15.4 Informal Resolution. Before initiating any formal proceedings, you agree to first contact us at legal@kordu.gg to attempt informal resolution. We will make good-faith efforts to resolve disputes within 30 days.
15.5 Time Limitation. To the maximum extent permitted by law, any claim or cause of action arising from or related to these Terms or the Services must be filed within one (1) year after the cause of action accrues. After that period, such claim or cause of action is permanently barred.
15.6 Class Action Waiver (US Users). To the maximum extent permitted by applicable law, you agree that any dispute resolution proceedings will be conducted only on an individual basis and not as a class, consolidated, or representative action. If this waiver is found unenforceable in your jurisdiction, then the entirety of this Section 15.6 shall be void with respect to you.

17. General Provisions
Key Points: Standard legal terms about how this agreement operates.
17.1 Severability. If any provision of these Terms is found unenforceable, it shall be modified to the minimum extent necessary to make it enforceable, or if modification is not possible, severed. The remaining provisions will remain in full force and effect.
17.2 Entire Agreement. These Terms, together with the Policies, constitute the entire agreement between you and us regarding the Services and supersede all prior agreements, representations, and understandings.
17.3 No Waiver. Our failure or delay in enforcing any term is not a waiver of our right to enforce it later. No waiver shall be effective unless in writing.
17.4 Assignment. You may not assign or transfer these Terms or any rights or obligations hereunder without our prior written consent. We may assign these Terms in connection with a merger, acquisition, reorganisation, or sale of assets, or to an affiliate, without your consent.
17.5 Force Majeure. We are not responsible for delays or failures in performance caused by events beyond our reasonable control, including but not limited to: natural disasters, pandemics, war, terrorism, civil unrest, government actions, internet or telecommunications failures, power outages, cyberattacks, or third-party service provider failures.

17.8 Interpretation. The Key Points and section headers are for convenience and do not affect interpretation. "Including" means "including, without limitation." "Or" is not exclusive unless context requires otherwise.
